Terms of Use

These Terms of Use ("Terms") govern access to and use of the UbiaConnect platform, operated by Top Notch Company Limited ("UbiaConnect", "we", "us"). By creating an account or using the platform, you agree to be bound by these Terms.

1. Eligibility

Access to UbiaConnect is restricted to individuals and entities who:

1. Are at least 18 years of age.
2. Have the legal capacity to enter into binding agreements in their jurisdiction.
3. Are not subject to sanctions, PEP restrictions, or regulatory disqualification.
4. Provide accurate identity and contact information during registration.

2. Permitted Use

You may use the platform solely for lawful investment discovery, issuer onboarding, and capital formation activities. You must not:

• Attempt to circumvent the platform's compliance or identity verification controls.
• Use the platform to facilitate money laundering, terrorist financing, or fraud.
• Access accounts or data belonging to other users without authorisation.
• Transmit malicious code, viruses, or disruptive content via the platform.

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify UbiaConnect immediately of any suspected unauthorised access. UbiaConnect is not liable for losses arising from your failure to secure your credentials.

4. Platform Access

Access to the platform does not guarantee fundraising success, investment allocation, or approval into any regulated workflow. UbiaConnect may suspend or terminate access at any time where compliance, fraud, or misuse concerns arise.

5. Limitation of Liability

To the maximum extent permitted by Tanzanian law, UbiaConnect's liability to any user for any claim arising from use of the platform is limited to the amount of fees paid by that user to UbiaConnect in the preceding three months.

6. Changes to These Terms

UbiaConnect may update these Terms from time to time. Continued use of the platform after notification of changes constitutes acceptance of the revised Terms.

7. Governing Law

These Terms are governed by the laws of the United Republic of Tanzania.
